Terms & Policies

Each party agrees to: (a) protect the other party's Confidential Information using at least the same degree of care it uses for its own confidential information; (b) not disclose Confidential Information to third parties except as permitted; (c) use Confidential Information only for purposes of this Agreement.

Confidential Information does not include information that: (a) is or becomes publicly available without breach; (b) was known to the receiving party before disclosure; (c) is independently developed; (d) is disclosed pursuant to legal requirement.
