Termination for Cause
Either party may terminate this Agreement if the other party: (a) materially breaches the Agreement and fails to cure within 30 days of written notice; or (b) becomes insolvent, makes an assignment for the benefit of creditors, or becomes subject to bankruptcy proceedings.
Effect of Termination
Upon termination: (a) Customer's access to the Services will be discontinued; (b) SWEO will make Customer Data available for export for 30 days following termination; (c) after the 30-day period, SWEO may delete Customer Data; (d) all accrued payment obligations survive termination.
